| Public issue of [*] equity shares of face value Rs. 10 each ("Equity Shares") of Neesa Leisure Limited ("Company/Issuer") for cash at a price of Rs. [*] per equity share (The "Issue Price"), including a share premium of Rs.[*] per equity share, aggregating upto Rs. [*] crores, comprising a fresh issue of upto [*] equity shares by Neesa Leisure Limited aggregating upto Rs. 200.00 crores (The "Fresh Issue") and Offer for Sale of upto [*] equity shares by Axis Infrastructure Fund I ("AIF") of upto Rs. 50.00 crores and 1,03,746 equity shares by HT Media Limited ("HTML") (The "Selling Shareholders") of Rs.[*] crores (The "Offer for Sale"). The fresh issue and the offer for sale are together referred to herein as the "Issue". Further upto 2,00,000 equity shares will be reserved in the issue for subscription by eligible employees (The "Employee Reservation Portion") subject to valid bids being received at or above the issue price provided that the value of allotment to a single eligible employee does not exceed Rs. 2,00,000. The issue less the employee reservation portion is hereinafter referred to as the "net issue".
