| Initial public offer of up to [*] equity shares of face value of Rs. 1 each ("Equity Shares") of API Holdings Limited (The "Company" or the "Issuer") for cash at a price of Rs. [*] per equity share (including a premium of Rs. [*] per equity share) ("Issue Price"), aggregating to Rs. 6250.00 crores (the "Issue"). The issue shall constitute [*]% of the post-issue paid-up equity share capital of the company. The company may, in consultation with the brlms, consider a further issue of equity shares by way of a private placement of equity shares for cash consideration aggregating to Rs. 1250.00 crores, at its discretion, with the registrar of companies ("pre-ipo placement").
