| Initial public offer of upto 10,000,000 equity shares of face value of Rs. 10 each ("equity shares") of Annai Infra Developers Limited (the company or the "issier") for cash at a price of Rs. (*)* per equity share (including a share premium of Rs. (*) per equity share) aggregating upto Rs. (*) Crores (the "issue"). The issue comprises a reservation of (*) Equity shares aggregating upto Rs. (*) Crores for subscription by eligible employees (as defined herein) not exceeding 5 of the post-issue paid-up equity shares capital (the "employee reservation portion") and net issue to the public of (*) equity shares (the "net issue") aggregating upto Rs.
